Why the SPV Matters

A handshake between two companies could not carry a $200 million, multi‑decade national mandate. A dedicated corporate vehicle can. Five reasons the SPV structure is the foundation of the Restore Ghana Project:

The SPV ring‑fences the programme, its governance, finances, and obligations, inside a single entity. Government, funders, and communities all face one accountable counterpart, with clear lines of responsibility for every cedi and every river.

02 State oversight fused with private‑sector speed +

DIHOC anchors the venture to the public interest; Denzel Logistics drives it at commercial tempo. The SPV is where the two meet, decisions made at operational speed without ever escaping public accountability.

03 Security‑backed operations in contested territory +

Dredging in galamsey country carries real operational risk. The defence heritage inside the SPV protects crews, equipment, and, critically, the restored rivers themselves from re‑invasion after the work is done.

International environmental funds, lenders, and private investors underwrite a single clean entity operating under certified EIAs from the EPA and the Minerals Commission, not a loose consortium. That structure is what makes the $200 million programme financeable.

Rivers are not restored in one budget cycle. As a standing institution, the SPV carries the five‑phase programme, and the decades of monitoring, maintenance, and community training that follow, across political seasons.
